family, friends, and all others concerned - please help!!!!

The saga continues .....


Dear family, friends, and all others concerned,


Greetings on this glorious day that the Lord has made! I hope that you and the loved ones are in good health. Good health is such a wonderful blessing from the good Lord, our Creator Lord! I am very thankful to our Creator Lord for being able to get out of bed, and to be able to go to work, and for having the work (it is a wonderful blessing also), and for this opportunity to write and update this and other blogs. How is your spirit on this glorious day? Please remember that we humans are created by our Creator Lord, in His image, with inalienable rights! Below is an abbreviated synopsis of what it is an attempt, a mere human's attempt - a sinner man's attempt, to withdraw/dissolve three corporations, and pay off all back taxes, fees, penalties, and file all the necessary forms with Virginia, New Jersey, and the federal government as soon as possible. Please let me know where I've gone wrong, and/or why it is taking so much time (is justice delayed, justice denied?). I thank you for any and all help!!!

11/24/11 page 1: Timeline is started (the process is moving slowly)

Timeline: Three corporations: Some Choices Are Evil – There is the Way, Inc., NOVA Christians For Life, Inc., and KM Enterprises, Inc.

1996: Contact cousin Stephen Smithers in Bealeton, VA. about coming down to look for work.

Out of work, go to Virginia in 1996, looking for engineering work (at this point not able to pay the mortgage and other credit card bills).___________________________________________

Part of 1996/ part of 1997 (about 8 1/2 months total) live in Virginia (Bealeton w/cousin and then mostly in McLean, VA.). While in McLean, VA. went to a lawyer, and I believe, formed three corporations: Some Choices Are Evil – There is the Way, Inc., NOVA Christians For Life, Inc., and KM Enterprises, Inc. Had hopes of doing much with all three corporations, but ended up doing no business with all three. Never filed any returns, reports, or kept records (I believe), etc. because didn’t believe that I had to.________________________________________________

In early part of 1997, leave McLean, VA. in a snowstorm, and arrive back in New Jersey (living in Hidden Village, Vernon in a condo. – bank goes through with foreclosure, and credit card companies (some of them) are suing for money + penalties._____________________________

Move to The Sussex Inn, Sussex, NJ, room 103, in late Oct. 1997. Never do anything with the corporations, nor hear from the State of New Jersey (or from Commonwealth of Virginia, or from U.S. government).___________________________________________________________

Before April 2004, 2005, 2006 (? – not sure of which year) Receive from the State of New Jersey info. on filing annual reports for Some Choices Are Evil – There is the Way, Inc. on-line for $50 (New Jersey is now doing annual reports on-line it says in the info.). I’m still thinking that corporate taxes aren’t required because the corporation was always inactive. I comply with the on-line filing requirement.________________________________________________________

April 2011: Each year thereafter, before I believe, the April 7th filing date, I filed on-line and paid the $50. Started thinking that I should dissolve the corporation and not have to file each year (since the corporation was still inactive)._________________________________________

Mid April – May: Still haven’t put much effort into dissolving corporation other than saving up for a lawyer.____________________________________________________________________

Around 8/10/11: Started writing to lawyers about the situation having saved about $675 thus far (only two respond). Also, didn’t get a better idea as to how much this would cost.________

9/2/11: Still saving money for a lawyer ($692 saved).___________________________________

Around 9/18/11: Saw forms on-line for withdrawing/dissolving corporations. Start to file forms from off computer site. Discover that there is a minimum corporation tax even for corporations that are inactive! Thinking that I should check to see if the other two corporations need to be dissolved also.__________________________________________________________________

9/18/11: Write to Governor Chris Christie, and Assemblywoman Alison McHose to explain the situation and what I want to do (dissolve the corporations, pay any back taxes, fees, penalties, and make arrangements to make payments if it’s more money than I have).________________

9/19/11: File (mail) paperwork with the State of New Jersey for withdrawing Some Choices Are Evil – There is the Way, Inc._______________________________________________________

Letter dated 9/28/11: Receive response back from Assemblywoman Alison McHose’s office (from Helen Carew, director of constituent casework) asking for the names of the corporations and the EIN number._____________________________________________________________

10/1/11: Sent letter to Helen Carew stating that I didn’t believe that I’d gotten an EIN number for the corporations (if I had, I didn’t keep the paperwork, or don’t know where it is), but had NJ’s 10 digit # 0100-7036-80.______________________________________________________

10/4/11 letter to Gov. Chris Christie asking for his help (similar to info. in 9/19/11 letter)._____

Letter dated 10/5/11 from Gov. Chris Christie telling me that he sent the original info. to the Dept. of Treasury, Treasurer Andrew Sidamon-Eristoff’s office for review.__________________

Week of 10/17/11: Having saved up $839.56 (and still saving) started to make appointments to see the two lawyers Cynthia Collins, and Michael Hanifan._______________________________

10/24/11 3pm: Visited lawyer Cynthia Collins in Hamburg, NJ about withdrawal/dissolution of three corporations and paying all the back taxes, fees, penalties, and filing any required form. Gave her most of the original/or copies of all the paperwork that I had. Get charged $375 for the visit._______________________________________________________________________

12/9/11: Received in the mail from CPA Stephen N. Froehlich N.J. forms for tax years 1997 - 2010, and dissolution of corporation forms.

12/10/11: Signed all tax forms, and other paperwork, get affidavit notarized at Chase Bank in town, and mail out priority mail to Lauren Musser (with checks for tax years 1997 - 2008 and with letter asking to make payments for amount due).

12/13/11: Letters to sisters Sue and Elaine explaining why budget is too tight to be able to visit them and get them presents this Christmas.

12/14/11: Received letter from Michael Hanifan in regards to nuance of dissolution.

12/15/11: Received letter from Lauren Musser asking me to send CBT-100's. Sent out letter to her stating that CBT-100's were sent out, along with checks and other info. on 12/10/11, and that she should have received them by now.

12/17/11: Received letter from Lauren Musser listing the balance of taxes due plus interest and penalties ($7,800.58).

12/17/11: Received from the Virginia State Corporation Commission copies of Notice of Termination of Corporate Existence for Some Choices Are Evil - There is the Way, Inc., and NOVA Christians For Lie, Inc.

12/17/11: Updating blog with a letter to Lauren Musser asking to be able to make arrangements to pay off taxes, penalties and interest.

12/20/11: Updated blog with a letter to Lauren Musser asking if I could send out a payment on the balance due on Friday 12/23/11.

12/28/11: Receive call from sister Elaine explaining that the corporation was incorporated in April and dissolved in Virginia on Sept. 18, '97. Said she was writing a letter to NJ Div. of Taxation.

1/1/12: Still not resolved! Hope you have a blessed New Years!!

circa 1/3/12: Received from the State of New Jersey (letter dated 12/29/12) stating that prior to issuance of a tax clearance certificate, the submission of the following is needed: A check for $7,204.49, and asking if I would like an abatement of penalties, then I should send a written request.

1/3/12: Made more copies of Notice of Termination of Corporate Existence.
Thinking about, and praying about sending copies to accountant and law office.

1/4/12: Sending a letter to Stephen N. Froehlich along with copies of Notice of Corporate Existence for two corporations, and asking if tax forms and other forms need to be sent to the federal government and the Commonwealth of Virginia.

Froehlich asking for an abatement, and that the State of NJ can abate all the penalties and interest associated with the penalties for corp. business tax returns (1997-2010), and that a check made payable to the NJ Div. of Taxation, in the amount of $4,106.22 to satisfy total balance due as of 1/26/12.

2/10/12: Received letter dated 2/8/12 from Lauren Musser about the interest rate on the balance of the back taxes (New Jersey charges the Prime Rate of interest plus 3%).

2/14/12: Letter to U.S. Congressman Scott Garrett telling him about the multiple attempts to reach the Dept. of the Treasury, and about Mr. Stephen N. Froehlich's statement about not needing to file any federal returns (letter to be mailed late 2/15/12).

2/15/12: Updated blog with letter to Lauren Musser about trying to make payment arrangements with the state, and sending another payment to go towards the back taxes, penalties, and interest.

2/22/12: Updated blog with letter to Lauren Musser about not probably being able to make the $4,106.22 payment in the next few days, and requesting to make payment arrangements to pay off the back taxes, penalties, and interest.

2/22/12 ; Updated blog with letter to Mr. Stephen N. Froehlich, the accountant, stating that I won't probably come up with the $4,106.22 in the next few days, and that Congressman Scott Garrett stated that the situation regarding owing back taxes to the federal government is under review.

2/22/12: Updated blog with letter to Elaine similar to the one to the accountant.

3/1/12: Updated blog with letter to Lauren Musser asking to make arrangements with the State of New Jersey for a payment plan to pay off the back taxes, penalties, and interest.


I'll keep updating the synopsis, the good Lord willing, when new events arise. Thank you very much for all your help. I again ask those to whom I owe money to (totaled by the State of New Jersey to be $7,204.49 in a letter dated 12/29/12 - I have sent money since then to help pay off the back taxes, penalties, and interest) to please be patient - I want to resolve this as soon as possible and having been trying to do what is the wisest and right thing, and try to pay off the back taxes, fees, penalties, plus file all the required forms so that all three corporations could finally be dissolved!!! I don't have much money so I probably will have to make payments, the Lord willing, (I don't want to have to spend the next seven years paying it off though). I won't have any savings left (not that I have a lot now) if what the accountant states is close to accurate. The cost of a lawyer is expensive ($375/hr.) and the cost of a lawyer's assistant is expensive ($150/hr., and the cost of an accountant is expensive)!!!

The Holy Scriptures are pure, perfect, powerful, profitable for doctrine, and cannot be broken!
